These terms govern merchant access to and use of Kordiva.

1. Eligibility and acceptance

A merchant must operate lawfully and provide accurate business, registration, tax, banking and beneficial-owner information where required. Kordiva merchant onboarding is currently available only to registered legal entities and registered sole traders.

During organization onboarding, the owner must affirmatively accept the current merchant terms version. Kordiva requires the accepted terms version to be submitted with organization creation and logs acceptance metadata for operational audit purposes.

2. Seller and payment roles

The merchant is the seller of record for the goods and services offered in its store. The merchant owns or controls its catalogue and is responsible for descriptions, pricing, legality, fulfilment, delivery, customer rights, returns, warranties and applicable tax or fiscal documentation.

For the current card-payment flow, Kordiva is the merchant-of-record/payment party for card processing. This means Kordiva operates the card-payment flow and related payment-side controls. It does not mean that Kordiva becomes the seller, supplier, reseller, owner or licensor of the merchant's goods or services.

3. Stripe verification and payouts

Card-payment and payout operations use Stripe-connected infrastructure. Merchants must complete required KYC/KYB and banking verification before payouts can be enabled. Kordiva may delay, withhold or reserve payouts when required by verification, refund, dispute, fraud, sanctions, negative-balance or other legitimate risk controls.

4. Refunds, disputes and chargebacks

The merchant determines the commercial basis for refunds and customer claims under its published policies and applicable law. Kordiva provides the payment-side tooling used to initiate eligible card refunds and handle processor events. The merchant must provide order, fulfilment, delivery and customer-communication evidence when reasonably required for a dispute.

5. Tax, invoices and fiscal documents

The merchant remains responsible for the tax treatment of its sales and for issuing or maintaining legally required commercial or fiscal documents. Kordiva can generate a customer-facing commercial PDF invoice using the merchant's configured legal identity. That PDF is not, by itself, a UJP fiscal e-invoice.

6. UJP e-Invoice status

As of August 2026, Kordiva's UJP e-Invoice integration is in test/sandbox mode. Production UJP submission is intentionally disabled during the pre-2027 testing period. Completing UJP credentials or a digital certificate in Kordiva does not mean that a production fiscal submission is currently being sent. Production activation will require the applicable formal cutover, configuration and merchant readiness checks.

7. Prohibited activity and suspension

Kordiva may restrict payment acceptance, payouts or platform access for unlawful activity, restricted products, false business information, unresolved verification requirements, excessive dispute risk, fraud or material breach of platform policies.
